Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “Partner”, “you”, or “your”) and Provixai (“Provixai”, “we”, “our”, or “us”). By executing a Statement of Work (SOW), retaining our Agentic Software Engineering services, custom MCP server development, or deploying our dedicated agent squads (the “Services”), you agree to be bound by these Terms and our Privacy Policy.

2. Scope of Engagement & Agentic Software Provisions

Provixai provides executive technical consultancy, agentic system architecture, custom Model Context Protocol (MCP) server development, and autonomous web agent engineering services.

For SaaS integrations and technical partnerships, Provixai operates strictly under Non-Disclosure Agreements (NDAs). All client-facing deliverables, code repositories, agent orchestration workflows, and documentation produced by Provixai are delivered with full transfer of intellectual property rights.

3. Intellectual Property Rights

Upon full settlement of applicable invoice milestone payments, Client or Partner agency retains 100% full right, title, and ownership interest in all custom code, software architecture, designs, and technical documentation developed by Provixai during the engagement.

4. Service Level Agreements (SLAs) & Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary business logic, client data, and trade secrets. Provixai adheres to agreed-upon sprint timelines, deployment SLAs, and code quality benchmarks established in individual Statements of Work.

5. Limitation of Liability

To the maximum extent permitted by applicable law, neither Provixai nor its officers or partners shall be liable for indirect, incidental, or consequential damages. Provixai’s total cumulative liability under any Statement of Work shall not exceed the total fees paid by Client to Provixai under that specific SOW in the six (6) months preceding the claim.
